PROPOSED AMENDMENTS TO THE CONSTITUTION AND BYLAWS
OF THE FAIRBANKS GOLF ASSOCIATION
[To be voted on at the April 18, 2009 General Membership Meeting]

 (Proposed new language is in bold italics, underlined)

 

1.         The first amendment shall change the title to read:
 BYLAWS OF THE FAIRBANKS GOLF ASSOCIATION

2.         The second amendment shall change Article III, Section 3, Membership Privileges (b) to read:
        
b.              Members in good standing are eligible to enter all FGA sponsored tournaments.

3.         The third amendment shall change Article III, Section 3, Membership Privileges by adding item (d) to read:
d.      All members over the age of eighteen shall be eligible to vote.

4.         The fourth amendment shall change Article V, Section 2 to specify the spring meeting as the Annual Meeting for elections, to read, in part:
               
The spring meeting shall be the Annual Meeting when election of officers will be held.

5.         The fifth amendment shall change the last line of Article VI, Section 3 to read:
               
Upon resignation of the President, the Vice President shall become President and hold office until the end of the vacated term.

6.         The sixth amendment shall expand Article VI, Section 6 by adding new language to the end of the section as follows (new language in bold font,         underlined:
               The Directors shall be members of the Board of Governors and attend meetings of the Board of Governors and annual Association meetings,
               and carry out their duties as assigned by the President, including but not limited to helping with and planning Fairbanks
               Golf Association sponsored golf tournaments.

7.         The seventh amendment shall change Article VI by adding two new sections,  Section 7 and Section 8, as follows:
          
Section 7. A quorum of the Board of Governors shall consist of a majority of the seated members when business for FGA
          is to be conducted.
          
Section 8. Action Without Meeting: Any action required or permitted to be taken at any meeting of the Board of Governors, or any           committee thereof, may be taken without a meeting if a written consent (including electronic) setting forth the action so taken is
          signed by a majority of seated directors that would have been entitled to vote on the action had a meeting been held. A written
          electronic message (e-mail) shall be considered a signature for this purpose.  Any such action shall be ratified at the next regular
          meeting.

8.         The eighth amendment shall change Article VII, Section 1 to specify March 1st as the date for appointment of a nomination committee, to read,
        in part:
                 
The President, with the approval of the Board of Governors, shall appoint a nominating committee no later than March 1st.

9.         The ninth amendment shall change Article VII, Section 2 to read:
               
The election of officers shall be held at the Annual Meeting in the spring. The majority of votes cast shall constitute an election.
               The terms of office shall be for two years. Officers may be re-elected. The President
and the Treasurer shall be voted on in odd
               years. The Vice President and the Secretary shall be voted on in the even years. The newly elected officers shall begin their official                duties at the commencement of the fall meeting after their election.

10.     The tenth amendment shall change Article VII, Section 4 to read:
               
The President shall fill, by appointment, all vacancies in elected positions.  The appointee shall serve until the end of the
               vacated term.

11.     The eleventh amendment shall change Article VII, by adding a new Section 5 to read:
               
Section 5. A board member absent for three consecutive meetings without an excused absence may be removed by the chair
              at the next regularly scheduled meeting of the Board of Governors.

12.     The twelfth amendment shall change the last sentence of Article IX to read:
               
Robert’s Rules of Order, Revised, shall be the parliamentary authority of the Association, and shall apply in the absence of a
              directive set forth in these By Laws.

13.     The thirteenth amendment shall replace the name “Board of Governors” with “Board   of Directors” throughout the entire document.

ARTICLE I
Name
The name of this organization shall be the Fairbanks Golf Association and shall hereinafter be referred to as the Association.

ARTICLE II
Purpose

A.       To stimulate interest in golf and conduct golf tournaments for its members; and

B.       To foster a spirit of good will and fairness in the game of golf; and

C.       To do such other things as in the opinion of the Board of Governors shall be for the good, betterment, or entertainment of its members; and

D.       To provide assistance, guidance, and direction to junior golfers in the State of Alaska.

ARTICLE III
Membership

 Section 1.        Any person who has an interest in golf shall be eligible for membership in this Association.

 Section 2.        Application for membership shall be submitted to the Association in writing and shall be accompanied by the annual dues.

 Section 3.         Membership Privileges

    a.     Membership to a USGA recognized handicap system.

    b.     Reduced entry fees for FGA sponsored tournaments.

    c.     Use of FGA golf instructional equipment.

 Section 4.        Membership Discipline

    The Board of Governors reserves the right to discipline members for acts detrimental to the Association. Discipline may include      up to and including termination of membership privileges.

ARTICLE IV
Dues

Section 1.        The dues shall be determined by the Board of Governors and approved by the general membership, and shall be paid on or                           before the first day of May each year.

Section 2.        The delinquent date shall be June 1st of each year. Delinquent members may not enjoy membership privilege, hold office, or                           participate in Association activities until dues are paid in full.

ARTICLE V
Association Year, Meetings, & Quorum

Section 1.        The Association year shall be from November 1st through October 31st of each year.

Section 2.        Meetings of the general membership shall be held a minimum of two times a year. One meeting shall be held in the spring no     later than May 30th; and one meeting shall be held in the fall of the year, no later than October 31st. The fall meeting shall be the     Annual Meeting when election of officers will be held. Additional meetings may be held at the discretion of the President or the     Board of Governors.

Section 3.        A quorum for a general meeting shall consist of at least 20 members, of which at least five must be members of the Board of     Governors.

ARTICLE VI
Officers and Their Duties

Section 1.       The elected Board of Governors of this Association shall consist of four officers, a President, Vice President, Secretary,    Treasurer, and six (6) Directors. The outgoing President shall be an exofficio member of the Board of Governors on the    following year.

Section 2.      The President shall preside at all meetings, call special meetings, appoint the chairmen of the Standing Committees and any   special committees needed. He or she shall have general supervision over affairs of this Association, uphold the bylaws, act as a   member ex-officio on all committees, except the nominating committee, and shall present a written report with his/her   recommendations at the Annual Fall Meeting.

Section 3.      The Vice President shall assist the President in the activities of the Association. In the absence of the President, he or she shall   perform the duties of the office. Upon resignation of the President, the Vice President shall become President and hold office   until the next annual election of the Association.

Section 4.      The Secretary shall permanently record the proceedings of all business meetings of the Association and the Board of Governors   and handle all correspondence for the Association. He or she shall keep the official copy of the bylaws and when they are   amended. He or she shall make the correction to the official copy with a reference to the minutes in which it was recorded.

Section 5.      The Treasurer shall receive, receipt, record, and report all dues, fees, monies, or property donated or paid to the Association and  deposits all monies into the Association bank account within five (5) days of receipt thereof. He or she shall present a financial  statement to the Board of Governors at each business meeting. Disbursements, as approved by the Board of Governors, shall be  by check, signed by any two officers. A final statement shall be presented to the new Board of Governors.

Section 6.     The Directors shall be members of the Board of Governors and attend meetings of the Board of Governors and annual Association meetings.

ARTICLE VII
Elections

Section 1.     The President, with the approval of the Board of Governors, shall appoint a nominating committee no later than September 10th. The committee shall consist of a chairperson and two members.

Section 2.    The election of officers shall be held at the Annual Meeting in the fall. The majority of votes cast shall constitute an election. The terms of office shall be for two years. Officers may be re-elected. The President and the Treasurer shall be changed on the odd years. The Vice President and the Secretary shall be changed on the even years.

Section 3.     The Directors shall be elected in staggered years, serving two-year terms.

Section 4.    The President shall fill, by appointment, all vacancies in elected positions. The appointee shall serve until the next annual  election.

ARTICLE VIII
Standing Committees

The Board of Governors may use the following committees when deemed necessary.

Section 1.    TOURNAMENT COMMITTEE: The chairperson shall appoint committee members to consist of a minimum of two in addition to him. The committee shall prepare a schedule of events for the season and a format for rules and prize distribution. The schedule and format will be presented to the Board for approval and will be distributed as directed by the Board. The schedule and supervision of tournaments shall comply with USGA requirements.

Section 2.    RULES COMMITTEE: The chairperson shall appoint committee members. The rules committee shall decide all issues concerning tournament play, and shall interpret and enforce rules and regulations governing tournament play. Local rules shall be set by coordinating with the Board of Governors and the management of the golf course.

Section 3.   HANDICAP COMMITTEE: The chairperson shall appoint committee members. The handicap committee is responsible for establishing handicaps for all paid members and they shall have the final authority in handicap matters and flight classifications.

Section 4.   TROPHY Committee: The chairperson shall appoint committee members. The trophy committee shall be responsible for the purchase and distribution of all prizes for all events of the Association.

Section 5.    MEMBERSHIP COMMITTEE: The chairperson shall appoint the committee members. The membership committee shall be responsible for the solicitation of new members and such' interviewing and application distribution as might be required by the Association.

Section 6.      SOCIAL COMMITTEE: The chairperson of the committee shall appoint committee members. This committee shall be responsible for the planning and arranging of all social events of the Association.

Section 7.    PUBLICITY COMMITTEE: The chairperson shall appoint the committee members. This committee shall be responsible for all posters. notices, write-ups in newspapers. and publicity through other news media.

Section 8.   CONSTITUTION & BYLAWS COMMITTEE: The chairperson shall appoint the committee members. The committee shall be responsible for the review of all proposed amendments, changes, or revisions of the Association bylaws and shall report to the Board of Governors of their recommendations.

Section 9.    JUNIOR GOLF COMMITTEE: The chairperson shall appoint the committee members. The committee will work with and support the Fairbanks Junior Golf Association in promoting junior golf In Fairbanks.

Section 10.  Hall of Fame Committee: The chairperson shall be appointed by the President with approval of the Board of Governors. There shall be a separate constitution for this committee that will require a two-thirds affirmative vote of the members present at a membership meeting of the Fairbanks Golf Association; to be amended.

Order of Business

The order of business of this Association shall be:
            1.           Call to order
            2.           Report of the last meeting
            3.           Communications
            4.           Report of the Secretary
            5.           Report of the Treasurer
            6.           Report of Standing and Special Committees
            7.           Unfinished Business
            8.           New Business
            9.           Election of officers
            10.       Good of the Association
            11.       Adjournment

Robert's Rules of Order, Revised, shall be the parliamentary authority of the Association.

 ARTICLE X
Amendments

Proposed amendments shall be submitted in writing, signed by at least five members. Upon review of the Board of Governors, notice of the proposed amendment shall be sent to the members ten (10) days in advance of the meeting. A two- thirds vote of those present shall be required for approval.

ARTICLE XI
Records

All officers and committee chairpersons shall transfer all records pertaining to the Association activities to their successors upon completion of their term of office.

ARTICLE XII

The original bylaws became effective by majority vote of prospective members present at the organizational meeting in 1982.

The entire Constitution & Bylaws of the Association were retyped with amendment inserted after the Fall 1997 Annual Meeting. They were converted from DOS to MAC after the Fall 1997 meeting.

This Constitution and Bylaws of the Fairbanks Golf Association was retyped incorporating amendments on the following dates:

1.        April 28, 2002:  Amendment 16 added.

2.        November 18, 2007:  Amendment 17 added

AMENDMENTS

Amendment 1: To revise Article VI, Section 1 to add five (5) Board of Directors, serving for a period of three years and elected in staggered years. The first Board will have one Director serve for one year, two Directors serve for two years, and two Directors serve for three years. Approved at Fall 1985 Annual Meeting.

Amendment 2: To revise Article I to change the name of Association from Fairbanks Golfer's Association to the Fairbanks Golf Association. Approved at Fall 1987 Annual Meeting.

Amendment 3: To revise Article IV, Section 2 to add "until dues are paid in full". Approved at Fall 1987 Annual Meeting.

Amendment 4: To revise Article VI, Section 5 to move the duties of the Treasurer from the duties described for the Secretary. Approved at Fall 1987 Annual Meeting.

Amendment 5: To revise Article VI, Section 5 to allow disbursement checks to be signed by either the treasurer, the president, or the secretary. Approved at the Fall 1992 Annual Meeting.

Amendment 6: To revise Article III, Section 3 from termination to membership privileges and adds Section 4 Discipline. Approved Spring 1995.

Amendment 7: To revise Article IV, Section 2, replacing "participate in club tournaments" with "enjoy membership privilege." Approved Spring 1995.

Amendment 8: To revise Article VI, Section I, to define the elected Board of Governors. Approved Spring 1995.

Amendment 9: To revise Article VI, Section 2, deleting the last three sentences: "He or she shall, when so instructed by the Board, co-sign and/or endorse all checks and warrants drawn by the Treasurer. He or she shall arrange for an annual audit of the Association records and accounts prior to the fall meeting by no less than three members of the Board to verity that Association finances have been properly deposited and expended. He or she shall present their written report at the annual fall meeting." Approved Spring 1995.

Amendment 10: To revise Article VI, Section 5, to require that Association checks be signed by any two officers. Approved Spring 1995.

Amendment 11: To add Article 7, Section 4, "The President shall fill by appointment all vacancies in elected positions. The appointee shall serve until the next annual election." Approved Spring 1995.

Amendment 12: To add at the beginning of Article VIII, Committees: "The Board of Governors may use the following committees when deemed necessary." Approved Spring 1995.

Amendment 13: To revise Article VII, Section 3 to change the directors' term to two years. Approved Fall 1997.

Amendment 14: To revise Article VII, Section 2, to change the officers' terms to two years, electing the President and Treasurer on odd years and the Vice President and Secretary on even years. Approved Fall 1997.

Amendment 15: To revise Article VI, Section I, to increase the number of directors to six. Approved Fall 1997.

Amendment 16: To revise Article VII, Section 9 to change the duties of the Junior Golf Committee. Approved Spring 2002.

Amendment 17: To revise Article VIII Standing Committees, Section 10, Hall of Fame Committee.
